These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and Togever Ltd ('we', 'us', or 'our'), concerning your access to and use of the Togever platform, including the https://www.togeverapp.com website, the Togever Learning Management System (LMS), mobile applications, and any other related services (collectively, the 'Services' or 'Platform').
Togever is a comprehensive learning management platform designed for tutoring organizations. The Platform enables tutors to create and deliver educational content, students to access learning materials and submit assignments, parents to monitor student progress, and administrators to manage their tutoring operations.
You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Terms of Use prior to you using the Services.

1. OUR SERVICES
Togever is a Software-as-a-Service (SaaS) platform designed for tutoring organizations to manage their educational operations. The Services include:
- Content Creation and Management: Tools for tutors to create lesson plans, assignments, assessments, quizzes, and educational materials, including AI-assisted content generation.
- Learning Delivery: Systems for delivering educational content to students, including video libraries, document repositories, and interactive assessments.
- Assessment and Grading: Automated and manual grading systems, rubric-based assessment tools, and progress tracking.
- Communication Tools: Messaging systems for communication between tutors, students, and parents, subject to usage limits based on subscription tier.
- Scheduling and Booking: Calendar systems for scheduling tutoring sessions and managing availability.
- Progress Tracking: Analytics and reporting for students, parents, tutors, and administrators.
- Administrative Tools: Organization management, user administration, and billing systems.
- Video Conferencing: Integration with Zoom for live tutoring sessions.
The Platform is designed exclusively for educational purposes in the tutoring context. It is not intended for use in formal school settings or to comply with industry-specific regulations such as HIPAA or FISMA.
2. USER ROLES AND RESPONSIBILITIES
The Platform supports four distinct user roles, each with specific permissions and responsibilities:
2.1 Students
Students may:
- Access assigned courses, lessons, and learning materials
- Complete assignments and assessments
- Submit work for grading
- View their grades and progress
- Communicate with tutors and peers through the messaging system
- Participate in scheduled tutoring sessions
Students are responsible for maintaining academic integrity, submitting original work, and adhering to deadlines set by their tutors.
2.2 Parents/Guardians
Parents and guardians may:
- View their linked children's academic progress and records
- Communicate with tutors regarding student progress
- Book and manage tutoring sessions on behalf of students
- Manage payment methods and view billing history
- Receive notifications about student activities and achievements
Parents are responsible for ensuring their children use the Platform appropriately and for providing accurate consent where required by law.
2.3 Tutors
Tutors may:
- Create, manage, and organize educational content including lesson plans, assignments, and assessments
- Use AI-powered tools to generate educational content
- Upload videos and documents to resource libraries
- Grade student work using automated or manual grading tools
- Track student progress and provide feedback
- Schedule and conduct tutoring sessions
- Communicate with students and parents
- Generate certificates and reports
Tutors are responsible for the accuracy and appropriateness of content they create, maintaining professional conduct, and complying with applicable educational standards and regulations.
2.4 Administrators
Organization administrators have access to:
- User management and role assignment within their organization
- Organization-wide analytics and reporting
- Subscription and billing management
- System configuration and customization (based on subscription tier)
- Audit logs and compliance monitoring
Administrators are responsible for managing their organization's subscription, ensuring compliance with these Terms, and properly configuring user access and permissions.
3. SUBSCRIPTION MODEL AND PAYMENT
3.1 Subscription Structure
Togever operates on an organization-based subscription model. Organizations subscribe to the Platform and invite users (tutors, students, parents) to participate. Individual users do not directly subscribe to the Platform but are granted access through their affiliated organization.
3.2 Subscription Tiers
We offer three primary subscription tiers:
Solo: Designed for individual tutors and small tutoring operations with essential features, limited users, and basic storage and messaging capabilities.
Studio: Recommended tier for growing tutoring organizations with enhanced features including custom branding and higher usage limits.
Collective: Enterprise tier for established tutoring organizations with unlimited students, white-label branding, API access, and dedicated support.
Each tier includes specific limits on:
- Number of tutors, students, and parents
- Video and file storage capacity
- Daily message limits
- Available features and integrations
- Support response times

3.3 Free Trial
New organizations may be eligible for a 30-day free trial with full access to features included in their selected tier. No payment information is required to start a trial. At the end of the trial period, your subscription will automatically transition to a paid plan unless you cancel before the trial expires.
3.4 Payment Terms
All payments are processed through Stripe, our third-party payment processor. We accept major credit cards (Visa, Mastercard, American Express) and PayPal. By providing payment information, you:
- Authorize us to charge the payment method for all fees due
- Agree to keep payment information current and accurate
- Acknowledge that subscriptions automatically renew unless cancelled
Subscriptions may be billed monthly or annually. Annual subscriptions receive a discount compared to monthly billing. All fees are stated in British Pounds (GBP) unless otherwise specified.
3.5 Refund Policy
Subscription fees are generally non-refundable. If you cancel your subscription, you will retain access to the Services until the end of your current billing period. We do not provide refunds for partial months or years. Exceptions may be made at our sole discretion for technical issues preventing access to the Services.
3.6 Usage Limits and Overages
Your subscription tier includes specific usage limits. If you exceed these limits (e.g., number of users, storage capacity), you may be required to upgrade to a higher tier or face service restrictions. We will provide reasonable notice before enforcing usage limits.
3.7 Price Changes
We reserve the right to modify subscription pricing at any time. Price changes will not affect your current billing period but will apply upon renewal. We will provide at least 30 days' notice of any price increases.
4. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP
4.1 Platform Intellectual Property
The Platform itself, including all software, code, databases, designs, features, functionality, and the Togever name and logo, are owned by Togever Ltd and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms.
4.2 Tutor-Created Content
Tutors retain ownership of the educational content they create on the Platform, including:
- Lesson plans and curricula
- Original assignments and assessments
- Custom rubrics and grading criteria
- Uploaded videos, documents, and other materials
By creating content on the Platform, tutors grant Togever Ltd a limited, non-exclusive license to host, store, and display such content solely for the purpose of delivering the Services to your students and organization. This license permits us to:
- Store and backup your content on our servers
- Display your content to students enrolled in your courses
- Make technical copies necessary for platform functionality (e.g., caching, CDN distribution)
Important clarifications:
- We will NOT use your content to train AI models or machine learning systems
- We will NOT share your content with other organizations or tutors without your permission
- Your content remains visible only within your organization's account
- When you delete content, it will be removed from our active systems within 30 days
- Content in students' completed coursework may be retained as part of their educational records, but will not be reused for new courses
This license terminates when you delete the content from the Platform, subject to the retention periods described above.
4.3 Student Work
Students retain ownership of their submitted work, including assignment responses, essays, projects, and uploaded files. Students and their parents/guardians may request copies of student work at any time. We retain student work for the duration necessary to provide educational services and as required by applicable educational record retention laws.
4.4 AI-Generated Content
Content generated using our AI-powered tools (such as AI-generated questions, lesson plans, or rubrics) is considered created by the tutor who initiated the generation and is subject to the tutor content ownership terms above. Tutors are responsible for reviewing, editing, and approving AI-generated content before use.
4.5 Organization License
Organizations subscribing to the Platform receive a license to use all content created within their organization account for their educational operations. This includes sharing content among tutors within the same organization, subject to individual tutor consent where required.
5. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- All registration information you submit is true, accurate, current, and complete
- You will maintain the accuracy of such information
- You have the legal capacity and authority to agree to these Terms
- If you are a minor, you have obtained parental consent
- If you are a parent, you have authority to consent on behalf of your child
- You will not use the Services for any illegal or unauthorized purpose
- Your use will not violate any applicable laws or regulations
- If you are a tutor, you possess appropriate qualifications and credentials to provide tutoring services
6. USER REGISTRATION AND ACCOUNTS
User authentication is managed through Clerk, our third-party authentication provider. You may register using email/password or through supported social login providers (Google, etc.). You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access
- Ensuring you log out from your account at the end of each session
We reserve the right to remove, reclaim, or change usernames that are inappropriate, infringe on trademarks, or violate these Terms.
7. AI-GENERATED CONTENT
The Platform includes AI-powered content generation features that assist tutors in creating educational materials, including:
- Assessment questions and quizzes
- Assignment templates and rubrics
- Lesson plan suggestions
- Grading assistance and feedback suggestions
Important Notes About AI Usage:
- AI tools generate educational content based on curriculum standards, exam board specifications, and educational parameters only
- AI does NOT process or access student personal information
- Tutors must review and approve all AI-generated content before use
- AI-generated content may contain errors or inaccuracies; tutors are responsible for accuracy
- We use third-party AI providers (Anthropic/Claude, OpenAI, AWS Bedrock) who have their own terms and privacy policies
By using AI generation features, tutors accept responsibility for the content produced and agree to verify its suitability for their educational purposes.
8. ACADEMIC INTEGRITY
The Platform includes features to promote and monitor academic integrity:
8.1 Assessment Security
- Lockdown mode prevents tab switching during assessments
- Time limits and attempt restrictions
- Activity logging and integrity monitoring
- Question randomization
8.2 Student Responsibilities
Students agree to:
- Submit only their own original work
- Not share assessment content or answers
- Properly cite and attribute sources
- Not use unauthorized assistance during assessments
- Comply with academic integrity policies set by their tutors and organizations
Violations of academic integrity may result in failing grades, account suspension, or termination, as determined by the tutor and organization.
9. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include but are not limited to:
- Circumventing or attempting to circumvent assessment security features
- Sharing account credentials with others
- Accessing accounts or data you are not authorized to access
- Uploading malicious code, viruses, or harmful content
- Harassing, threatening, or bullying other users
- Uploading content that is illegal, offensive, or violates others' rights
- Using automated tools to scrape or extract data from the Platform
- Reverse engineering or attempting to extract source code
- Exceeding usage quotas or rate limits through technical means
- Reselling or redistributing the Services without authorization
- Using the Platform for purposes other than legitimate educational tutoring
- Uploading content that infringes copyright or other intellectual property rights
10. TUTOR-SPECIFIC TERMS
10.1 Tutor Qualifications
Tutors represent that they possess appropriate qualifications, credentials, and expertise to provide tutoring services in their designated subjects. Organizations are responsible for vetting and verifying tutor credentials.
10.2 Content Responsibility
Tutors are solely responsible for:
- The accuracy and appropriateness of educational content they create
- Ensuring content complies with curriculum standards and exam board requirements
- Reviewing and correcting AI-generated content before use
- Respecting copyright when uploading third-party materials
10.3 Tutor Payments (Stripe Connect)
The Platform supports tutor payments through Stripe Connect. If your organization enables this feature:
- Tutors must create and maintain a Stripe Connect account
- Payment processing is subject to Stripe's terms and conditions
- Togever Ltd acts solely as a platform facilitator and is not responsible for payment disputes
- Tutors are responsible for their own tax obligations
- Organizations determine payment rates and schedules
10.4 Professional Conduct
Tutors must maintain professional standards of conduct, including appropriate communication with students and parents, timely grading, and adherence to safeguarding policies for working with minors.
11. PARENT AND GUARDIAN TERMS
11.1 Parental Consent
Parents/guardians must provide verifiable consent for minors under 13 to use the Platform. For minors aged 13-17, parental supervision is required. Parents are responsible for monitoring their children's use of the Services.
11.2 Access to Student Data
Parents have the right to:
- Access their child's educational records and progress
- Request copies of student work
- Request deletion of student data (subject to educational record retention requirements)
- Communicate with tutors about student progress
11.3 Payment for Sessions
Parents may be required to pay for individual tutoring sessions booked through the Platform. Payment terms, cancellation policies, and refund policies are set by the individual organization and should be reviewed before booking sessions.
12. THIRD-PARTY SERVICES
The Platform integrates with various third-party services. By using the Platform, you may also be subject to the terms and privacy policies of these providers:
- Clerk: User authentication and account management
- Stripe: Payment processing for subscriptions and session payments
- Stripe Connect: Tutor payout processing
- Zoom: Video conferencing for live tutoring sessions
- Cloudflare: Content delivery, file storage (R2), and video hosting (Stream)
- AI Providers: Anthropic (Claude), OpenAI, AWS Bedrock for content generation
- Google: Social login authentication
We are not responsible for the practices of these third-party services. We encourage you to review their terms and privacy policies.
13. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Terms
- Take appropriate legal action against violators
- Remove content that violates these Terms or is otherwise objectionable
- Suspend or terminate accounts for violations
- Manage the Services to protect our rights and property
- Enforce usage limits based on subscription tiers
- Access data as necessary for technical support, security monitoring, and platform maintenance
14. PRIVACY POLICY
We care about data privacy and security, especially regarding educational records and student data. Please review our Privacy Policy: https://www.togeverapp.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use.
The Services are hosted in the United Kingdom and utilize cloud services that may process data internationally. By using the Services, you consent to the transfer and processing of your data as described in our Privacy Policy.
15. TERM AND TERMINATION
These Terms remain in effect while you use the Services. We reserve the right to deny access, suspend, or terminate accounts for any reason, including:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of subscription fees
- Prolonged inactivity
- Upon request (account deletion)
Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or for legitimate business purposes, including educational record retention requirements. Students and parents may request copies of educational records before account deletion.
16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time for any reason at our sole discretion. We may update features, change subscription tiers, or discontinue certain functionalities. We will provide reasonable notice of material changes.
We cannot guarantee the Services will be available at all times. We may experience interruptions for maintenance, updates, or technical issues. We are not liable for any unavailability, errors, or loss of functionality.
17. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
18. DISPUTE RESOLUTION
Informal Negotiations
To expedite resolution and control costs, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating formal proceedings. Contact us at hello@togeverapp.com to initiate informal resolution.
Jurisdiction
Any disputes not resolved through informal negotiations shall be subject to the exclusive jurisdiction of the courts of England and Wales.
19. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES REGARDING:
- The accuracy or reliability of AI-generated content
- Educational outcomes or student performance improvements
- Uninterrupted or error-free service
- Security of data transmission over the internet
- Tutor qualifications or quality of tutoring services
THE PLATFORM IS A TOOL TO FACILITATE TUTORING SERVICES. WE ARE NOT RESPONSIBLE FOR THE QUALITY OF TUTORING PROVIDED OR EDUCATIONAL OUTCOMES ACHIEVED.
20. LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TOGEVER LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.
CERTAIN UK LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY, SOME LIMITATIONS MAY NOT APPLY TO YOU.
21. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Togever Ltd, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your use of the Services
- Content you create or upload
- Violation of these Terms
- Violation of any third-party rights
- Any harm to other users
22. USER DATA
We maintain regular backups of data stored on the Platform. However, you are responsible for maintaining your own copies of important content. We are not liable for any loss or corruption of data.
Educational records and student data are retained in accordance with applicable laws and our Privacy Policy. Upon request, we will provide access to or deletion of data as required by law.
23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Using the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS.
24. MISCELLANEOUS
These Terms constitute the entire agreement between you and Togever Ltd regarding the Services. Our failure to enforce any right or provision shall not be deemed a waiver. If any provision is found to be unenforceable, the remaining provisions shall remain in effect.
We may assign our rights and obligations at any time. You may not assign or transfer these Terms without our prior written consent.
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us.
